The Tax M&A Manager will support our firm nationwide. But our commitment goes beyond our clients as we continue to live the Withum Way, promoting personal and professional growth for all team members, clients, and surrounding communities.How You’ll Spend Your Time:Leading and coordinating due diligence and tax structuring engagementsWorking with client and client counsel to structure various transactions, including taxable and tax free acquisitions, dispositions, reorganizations, spinoffs, and other transaction tax mattersAssisting clients with current issues which may include debt and equity restructurings, tax basis, earnings and profits, and section 382 studiesLiaising with a target company’s finance/accounting departments and tax advisors to gather pertinent facts for an analysis of tax risksIdentify opportunities for tax optimization planning, tax remediation, and overall tax strategy for private equity and strategic buyersLiaising with tax compliance teams to ensure transactions are accurately reported on US federal, state, and other tax filingsEngaging in relevant marketing and business development activitiesDeveloping and mentoring other team members while contributing to the ongoing development of M&A best practices The Kinds of People We Want to Talk to Have Many of The Following:A degree in Accounting, Masters in Business Taxation (MBT) or JD/LLM required5+ years of related (M&A) work experience requiredExcellent analytical skills and the confidence to translate complex data into meaningful insightsThe ability to prioritize effectively on projects and the skills to adapt quickly to new challenges and conceptsProject leadership in tax structuring and tax due diligence engagementsAbility to apply and interpret U.S. federal income tax law as it relates to tax due diligence exercises, including Subchapter C & S corporations, partnerships, consolidated groups, tax efficient structuring and use of debt, the reorganization provisions of the Internal Revenue Code, and technical writing and reviewing of opinion letters and memorandaExperience with tax consulting and planning e.g., analyzing proposed transactions for unusual tax risks or unanticipated tax benefitsIdeally, you’ll also have:A proven record of excellence in a mergers or acquisitions transactions roleExperience gained within another large professional services organizationEstablished networking skills in a relevant industryWithumSmith+Brown, PC is an equal opportunity employer and does not discriminate against otherwise qualified applicants on the basis of race, color, creed, religion, ancestry, age, sex, (including pregnancy), genetic information, marital status, domestic partnership status, familial status, affectional or sexual orientation, gender identity, citizenship status, national origin, disability or handicap, veteran status, weight, height, or any other classification protected by federal, state, or local law.
