1. Roles and Responsibilities:

  • Draft/review legal documentation and prepare legal advice/opinion to queries related to banking and non-banking such as IP, labor, competition, etc. Regarding banking queries, focusing areas of this Role includes loans, Accounts, Discounting, Term Deposit, Remittance, Letter of Commitment, consent letters, Power of Attorney, Non-Disclosure Agreement, Customer’s corporate approval for banking transactions, outsourcing. Other areas include but not limited to bank guarantees, standby letters of credit, factoring, trade finance agreements, security and collateral, money market agreements, foreign exchange agreements, letter of indemnity, confidentiality agreements, powers of attorney, outsourcing.

  • Draft/review legal documentation and prepare legal advice/opinion to support medium sophisticated deals.

  • Provide training on local laws/regulations to Relationship Managers and staffs of other functional departments (by classroom training, legal bulletins, legal topics);

  • Provide input into legal dispute and litigation matters involving the Bank as well as provide legal support and advice for the resolution of and settlement of claims against the Bank.

  • Support the interpretation and application of changes in law and regulations to ensure legal compliance in the Bank.

  • Contribute and support the implementation of regional/ local legal frameworks and templates

  • Support in developing and updating policies to ensure alignment with all relevant regulations.

  • Maintain good working knowledge of industry trends, products, relevant laws and regulations.

  • Research and comments on draft laws.

2. Key Relationships (with whom & Purpose)

  • External legal counsel: seek complex legal advice.

  • Local authorities (e.g. State Bank of Vietnam, Ministry of Justice, Ministry of Planning and Investment, etc.): Seek for clarification/guidance.

  • Banking Working Group: Seek for discussion/raising common voice to the local authorities.

  • Arbitration centres/courts: Reference on settled precedent cases

3. Job Requirement :

  • Bachelor of laws.

  • Language: Fluent in English.

  • At least 2 years practicing as lawyer. Qualified lawyer admitted in Vietnam (attorney at laws) (preferred).

  • Enterprise law, Civil Code, Commerce Law, Law on Credit Institutions, Banking Laws, Labor Code, Law on E-transaction, etc.

  • Working experience in law firm is preferred. Banking experience is not a must.

  • Open minded, attention to details, ability to work independently as well as within a team.

  • Strong communication skills with ability to influence others

  • Detailed understanding of local Banking and Finance Law, Enterprise Law, Investment Law, Civil Code, etc.

  • Strong analytical skills to interpret data and prepare sound legal advice.
