Job Description Summary

The Senior Counsel for TURKIYE, CENTRAL ASIA AND IRAN (the “Region”) provides legal support to GE HealthCare business’ teams in the Region with primary focus on Turkiye. This will include drafting and negotiating commercial contracts with key customers, advising on a wide range of legal and compliance matters and acting as a strategic business partner to support the senior business leaders in the region. The transactions and contracts typically include a wide range of GE equipment, software and service offerings. The Senior Counsel will be based in Istanbul or Ankara, Turkiye and report to GE Healthcare’s Executive General Counsel in EAGM Zone.

Job Description

Key responsibilities/essential functions include:

• Providing legal support for all GE Healthcare businesses in the region

• Serve as GE Healthcare’s senior legal counsel and strategic business partner in the Territory in relation to all aspects of public procurement, civil and commercial law aspects of contracting under local law, regulations on advertising and promotional materials, licensing (in relation to e.g. various forms of equipment, leasing activities) in medical devices and pharma sectors.

• Drafting, reviewing and negotiating commercial business agreements and transactions with key customers

• Providing legal advice in public tenders, incl. challenges to tender awards

• Supporting the Business on all aspects of distributor relationships with distributors across the Region, the delivery of training to the management and employees of the Business’ distributors; the management of issues with and the termination of distributors

• Counseling in indirect distribution matters working closely with the Indirect Channel/Dealer Compliance Organization as well as the sales teams in the region

• Advising the business on regulatory, privacy, antitrust and advertising/promotional matters

• Provide specialist advice on matters of local law across the Region, in particular on public procurement laws, competition laws and integrity laws (anti-bribery and anti-corruption), anti-money laundering and anti-terrorist financing laws

• Providing regulatory and compliance advice related specifically to the healthcare sector - in conjunction with the Regulatory and Compliance specialists in GE Healthcare

• Counseling on interactions with Healthcare Professionals; monitoring and driving compliance with transparency requirements

• Complement the Compliance team’s work with legal and compliance trainings where appropriate, serve as escalation point and help with investigations and with making decisions with broader risk implications

• Developing and delivering training to the business teams

• Driving Compliance Review Boards in collaboration with Compliance and business owner

• Managing/ supporting the management of disputes and litigation

• Managing outside counsel, when brought in to assist

• Supporting the corporate governance of legal entities in the region

• Applying combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention.

• Staying up-to-date and educating the business on new legal and regulatory developments

• Be motivator and energizer for a strong culture of integrity

• Collaborating actively with other legal counsels and functions in a matrix organization.

• Support, as and when applicable, the Business and the Region in relation to internal audits, external audits and follow up items resulting from such audits

• Support GE in the operation of its internal compliance program, in particular conducting investigations and preparing investigation reports with recommended and corrective action for closure

• Supporting on any matters related to sanctioned countries in close cooperation with the ITC team

Required Qualifications:

• JD (or equivalent) under Turkish law jurisdiction.

• Active bar membership is a plus.

• Minimum 10 years of business law experience at a large law firm or corporate legal department, including previous experience of drafting, negotiating and closing complex business transactions (i.e. purchase, sale and distribution agreements).

• Previous experience in identifying and resolving legal issues quickly and effectively and ability to make on the spot risk calls.

• Previous experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment.

• Extensive knowledge of law and commercial legal practice in the Territory

• Ability to communicate using English and Turkish (oral and written)

Preferred Qualifications:

• Experience of the Healthcare industry and previous exposure to medical industry regulations

• Demonstrated experience providing legal advice in a highly regulated environment

• Strong interpersonal skills and demonstrated teamwork skills

• External focus: Understanding areas of law, regulations, risks, marketplace dynamics, industry trends, and the compliance landscape
