The Senior Corporate Counsel will serve as a trusted advisor on the Commercial legal team, counseling the Company’s Corporate Development, Finance, Treasury and Tax teams. This attorney will be the primary in-house counsel supporting acquisitions, investments and other strategic transactions of the Company as well as advising the Finance, Treasury and Tax teams. This role will include a broad portfolio of sophisticated legal work spanning multiple jurisdictions. This attorney will work directly with senior management of the Company and cross functional teams to execute Company initiatives.

Basic Qualifications:

· Juris Doctor degree from an accredited law school

· Minimum of 7 years of experience with reputable law firm and/or corporate legal department

· Licensed to practice law in the United States and a member in good standing with a state bar

Essential Duties and Responsibilities:

· Engage and build relationships with the business to act as "front-line" legal counsel and provide high-quality, pragmatic legal and business advice regarding a wide range of commercial issues

· Think strategically and help create and execute on plans to achieve both short-term and long-term results and communicate with key legal and business stakeholders

· Create and direct the work of both legal and cross-functional teams

· Provide legal guidance in support of strategic corporate initiatives

· Assess proposed commercial transactions and develop deal structures to minimize legal and business risks

· Draft and negotiate complex agreements in relation to a wide range of commercial activities

· Effectively manage the services and support of external counsel, as needed

· Prepare and provide training presentations to internal clients on relevant legal topics or corporate practices

· Develop and implement processes, templates, and best practices to support the work of the role

· Provide mentoring to other attorneys or legal professionals within the department

Knowledge and Skills:

· Previous experience conducting mergers and acquisitions

· Superior negotiation, presentation, communication, and drafting skills

· Ability to independently work on complex legal matters

· High work capacity and passion for the job, in addition to high ethical and moral standards

Physical Demands : While performing the duties of this job, the employee is regularly required to talk and hear; and use hands to manipulate objects or controls. The employee is regularly required to stand and walk. On occasion the incumbent may be required to stoop, bend or reach above the shoulders. The employee must occasionally lift up to 25 pounds. Specific conditions of this job are typical of frequent and continuous computer-based work requiring periods of sitting, close vision and ability to adjust focus. Occasional travel.
